Terms of Service

Welcome to Orderly. These Terms of Service (“Terms”) govern your access to and use of the Orderly mobile application, website, and related services (collectively, the “Service”), operated by [Your Company Legal Name] (“Orderly,” “we,” “us,” or “our”).

By creating an account, generating an order, or making a payment through Orderly, you agree to be bound by these Terms. If you do not agree, please do not use the Service.


1. What Orderly Is

Orderly is a trust and payment platform that allows sellers (“Sellers”) to create orders, generate secure checkout links, and receive payments from buyers (“Buyers”) through an escrow system. Funds paid by a Buyer are held securely until the Buyer confirms delivery or the order is automatically released under the terms below.

Orderly is a facilitator of payments and escrow services. Orderly is not a party to the underlying sale of goods between a Seller and a Buyer, and does not manufacture, inspect, warehouse, or ship any goods.


2. Eligibility and Accounts

To use Orderly as a Seller, you must:

Orderly reserves the right to suspend or terminate accounts that provide false information, violate these Terms, or are used for fraudulent or illegal activity.


3. How Orders and Payments Work

  1. A Seller creates an order specifying the item(s), price, shipping fee, and buyer details.
  2. Orderly generates a secure checkout link, which the Seller shares with the Buyer.
  3. The Buyer pays for the order through the checkout link via our payment processing partner, Paystack.
  4. Funds are held in escrow and are not released to the Seller immediately.
  5. The Seller marks the order as shipped and provides an estimated time of arrival (“ETA”).
  6. Once the Buyer confirms receipt of the order, or the order is automatically released as described in Section 5, funds are credited to the Seller’s Orderly wallet, less any applicable fees.

4. Fees

Orderly charges a transaction fee on each completed order to cover payment processing costs and platform operation. The applicable fee and who bears it (Buyer or Seller) is disclosed to both parties before payment is made. Fees are non-refundable once a transaction is completed, except where required by law.


5. Escrow, Delivery Confirmation, and Auto-Release

Funds paid by a Buyer are held in escrow until one of the following occurs:

Buyers are strongly encouraged to inspect their order promptly upon delivery and confirm or report an issue before the automatic release window elapses.


6. Disputes

Orderly is not a mediator, arbitrator, or guarantor of the quality, safety, or legality of items sold between Sellers and Buyers. If a dispute arises between a Buyer and a Seller regarding an order, both parties agree to attempt to resolve it directly. Orderly may, at its discretion, provide information relevant to a transaction (such as order status, timestamps, and payment records) but is not obligated to resolve disputes on behalf of either party.

Once funds have been released to a Seller (whether by Buyer confirmation or automatic release), Orderly’s role in that transaction is considered complete.


7. Withdrawals

Sellers may withdraw available wallet balances to a linked bank account. Withdrawals are processed through our payment partner and may take up to [X] business days to reflect, depending on the receiving bank. Orderly reserves the right to request additional verification before processing a withdrawal, particularly for large or unusual amounts.


8. Prohibited Uses

You agree not to use Orderly to:

9. Limitation of Liability

To the maximum extent permitted by law, Orderly and its officers, employees, and partners shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including but not limited to loss of profits, data, or goodwill, or disputes between Buyers and Sellers regarding the quality or delivery of goods.

Orderly’s total liability for any claim arising from these Terms or the Service shall not exceed the total fees paid by you to Orderly in the three (3) months preceding the claim.


10. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through the app or via email. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.


11. Termination

You may stop using the Service at any time. Orderly may suspend or terminate your access to the Service if you violate these Terms, engage in fraudulent activity, or if required to do so by law.


12. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict of law principles. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Nigeria.
